APPENDIX E

IntelAgree Saige Assist Features Terms and Conditions

If Customer has purchased any Saige Assist (“GenAI Features”), and/or IntelAgree is providing any GenAI Features at no charge, as described on Appendix B, then the following additional terms and conditions apply:

1. Section 2 of the MSA is amended to add the following as of the Effective Date:

“m) bypass, override or attempt to bypass or override any safety measures of the Gen AI Features, including without limitation through prompt injection, jailbreaking or similar techniques, or circumvent safety filters or intentionally cause the Gen AI Features to act in a manner that contravenes the policies of IntelAgree or third-party service providers.”

2. Section 6.3 of the MSA is amended to add the following as of the Effective Date:

“Customer is solely responsible for Customer Data accessed by GenAI Features (“Input”), including the accuracy, quality, appropriateness, and legality thereof, and Customer will ensure that the Input, Customer’s use, and IntelAgree’s provision of the GenAI Features based on the Input does not (i) violate any applicable law; (ii) violate the terms of this Agreement; or (iii) infringe, violate, or misappropriate the rights of any third party. Customer is solely responsible for determining the accuracy and suitability of any text, images, or other content generated by GenAI Features (“Output”, and together with Input, “AI Content”). When using Outputs outside of IntelAgree Systems, Customer is responsible for informing viewers of those Outputs that the content is AI-generated.”

3. Section 9.3.3 is added to the MSA as of the Effective Date:

“IntelAgree may use AI Content to provide, maintain, develop, and improve the IntelAgree Software and IntelAgree Systems, including to provide the GenAI Features to Customer, and to comply with applicable law, enforce our rights under the MSA, and the terms and policies of our third-party service providers, and keep IntelAgree Systems secure.”

4. Section 10.5 of the MSA is amended to add the following as of the Effective Date:

“NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE MSA, AND IN ADDITION TO ANY OTHER LIMITATIONS OF LIABILITY, DISCLAIMERS OR EXCLUSIONS AS MAY BE APPLICABLE UNDER THE MSA, CUSTOMER ACKNOWLEDGES AND AGREES THAT (A) GENAI FEATURES OR OUTPUT ARE PROVIDED “AS IS” AND ARE NOT DESIGNED OR INTENDED TO PROVIDE LEGAL ADVICE OR TO MEET CUSTOMER’S REGULATORY, LEGAL OR OTHER OBLIGATIONS, MAY NOT BE COMPLETE, MAY CONTAIN ERRORS, INACCURACIES AND MISLEADING, BIASED OR OFFENSIVE CONTENT, (B) CUSTOMER IS SOLELY RESPONSIBLE FOR DETERMINING THE SUITABILITY OF AI FEATURES AND ACCURACY OF OUTPUTS, AND (C) INTELAGREE DISCLAIMS ANY AND ALL LIABILITIES, WARRANTIES, SERVICE LEVEL AGREEMENTS AND OTHER OBLIGATIONS FOR DAMAGES, FEES OR EXPENSES (INCLUDING TO ANY THIRD PARTY) INCURRED THAT RELATE TO THE USE OF THE GEN AI FEATURES. GEN AI FEATURES MAY BE MODIFIED, DISCONTINUED, OR CANCELLED AT ANY TIME FOR ANY REASON AT THE DISCRETION OF INTELAGREE.”

5. Section 11.2 of the MSA is amended to add the following as of the Effective Date:

“(d) due to or arising out of Customer’s use of the GenAI Services, Input, Customer’s use of Output, or Customer’s violation of any terms related to use of GenAI Features.”
